1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Viaom Technologies Pvt. Ltd. ("we", "our", or "us"), the company behind Retailer360. By accessing or using Retailer360 — whether via the Android app or the web app at app.retailer360.in — you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Description of Service

Retailer360 is an AI-powered billing and invoicing platform for Indian retail businesses. The service includes:

• Invoice creation — create GST-ready invoices manually, by barcode scan, or via voice billing
• Voice billing — speak naturally to describe a sale; Retailer360 uses Google Gemini to transcribe your speech and draft the invoice (available on paid plans)
• Customer & Khaata management — track customers, outstanding credit, and payment history
• Google Drive backup — automatically save invoice PDFs to your own Google Drive account (optional; available on paid plans)
• Analytics — lifetime revenue, invoice, and payment summaries
• Staff access — add team members with granular module-level permissions

The service is intended for use by registered business owners and their authorised staff operating in India. You must be at least 18 years old and legally permitted to enter into contracts under applicable Indian law to use Retailer360.

3. Accounts & Authentication

You register and log in using your mobile phone number. A one-time password (OTP) is sent via SMS. You are responsible for keeping your phone number and optional MPIN secure. You are responsible for all activity that occurs under your account.

You may add staff members to your shop. Staff operate under the permissions you assign and remain your responsibility. You can remove staff access at any time from Settings.

4. Subscription Plans

Retailer360 is available on the following plans:

• Free — core billing features: GST invoices, khaata ledger, customer management, and WhatsApp sharing
• Silver — unlimited invoices, customer management, basic analytics, and WhatsApp delivery
• Gold — everything in Silver, plus AI voice billing, product serial number scanning, advanced analytics, and priority support

Every new account begins with a 14-day free trial of the Gold plan. No payment method is required; when the trial ends, the account moves to the Free plan automatically and you are not charged.

Current pricing, including monthly and annual billing options, is displayed in the app at the time of purchase. Prices are in Indian Rupees (INR) and are inclusive of applicable taxes. We reserve the right to change pricing with reasonable advance notice.

5. Payments & Billing

All subscription payments are processed by Zoho Payments, a PCI-DSS compliant payment gateway. Plans are prepaid for the billing period you choose (monthly or annual) via UPI, card, or net banking.

• Plans do not auto-renew and we never auto-debit your account — to continue after your paid period ends, simply purchase a new period from the Pricing page
• Your paid features remain active until the end of the period you have paid for
• We do not store your card number, bank account details, or UPI credentials — these are held exclusively by Zoho Payments

6. Refund Policy

All subscription fees are non-refundable except as required by applicable Indian law. If you believe you have been charged in error, contact us at support@retailer360.in within 7 days of the charge and we will investigate. We may issue a refund at our sole discretion in cases of accidental duplicate charges or technical failures on our part.

Free trials, where offered, are subject to the same terms. Downgrading from a paid plan to Free before the trial or billing period ends does not entitle you to a pro-rated refund.

7. GST & Tax Invoices

Retailer360 helps you create GST-compliant invoices for your customers. You are solely responsible for:

• The accuracy of your GSTIN, HSN/SAC codes, tax rates, and all other details you enter
• Filing your GST returns and meeting your obligations under the GST Act and other applicable tax laws
• Maintaining records as required by law

Retailer360 is a software tool, not a tax advisor. Nothing in this service constitutes tax, legal, or financial advice. Consult a qualified chartered accountant for tax compliance matters.

8. Acceptable Use

You agree not to use Retailer360 to:

• Create fraudulent or fictitious invoices
• Evade taxes or misrepresent transactions
• Upload, store, or transmit unlawful content
• Attempt to reverse-engineer, decompile, or tamper with the service
• Access another user's account without authorisation
• Use the service in a way that disrupts or overloads our infrastructure

Violation of these terms may result in immediate suspension or termination of your account.

9. Data & Privacy

Your use of Retailer360 is also governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary:

• Your business data (invoices, customers, products) is stored securely in AWS India region
• Voice audio is processed by Google Gemini for transcription; raw audio is not stored by us
• Google Drive tokens are encrypted with AES-256-GCM; your Drive files belong to you
• We do not sell your data to third parties

You can permanently delete your account and all data at any time from Settings → Delete Account. See our Privacy Policy for full details.

10. Intellectual Property

Retailer360 and its underlying software, design, and branding are the intellectual property of Viaom Technologies Pvt. Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the service for your business purposes. You retain full ownership of all business data you enter into the app.

11. Disclaimers & Limitation of Liability

The service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or that AI-generated invoice drafts will be perfectly accurate. You should always review AI-generated content before saving or sharing an invoice.

To the maximum extent permitted by applicable Indian law, Viaom Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Retailer360, including but not limited to loss of business data or revenue.

12. Termination

You may stop using Retailer360 and delete your account at any time from the app.

We may suspend or terminate your account if you violate these Terms, engage in fraud, or if we are required to do so by law. We will endeavour to notify you before doing so unless the circumstances require otherwise.

On account deletion, all your data is permanently removed from our systems (except for files already in your Google Drive, which remain in your Google account).

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you within the app at least 14 days before the changes take effect. Continued use of Retailer360 after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you may delete your account before they take effect.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or your use of Retailer360 shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
